These Terms of Service ("Terms") govern your access to and use of Hypha.tv (the "Service").

By creating an account, connecting a Wallet, uploading Content, unlocking Content, sending tips, or otherwise using the Service, you agree to these Terms, our Privacy Policy, and our Cookie Policy.

If you do not agree, do not use the Service.

You must be at least 18 years old, or the age of legal majority in your jurisdiction if higher.

If you use the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

You represent and warrant that you meet all eligibility requirements described in these Terms and will use the Service only where lawful.

Hypha.tv is operated by Hypha Technologies Ltd (company number 16665133), registered in England and Wales, with registered office at 86–90 Paul Street, London, EC2A 4NE, United Kingdom ("Hypha", "we", "us").

Formal notices may be sent to our registered office and copied to legal@hypha.tv.

Hypha is a technology platform that provides video hosting, streaming, access control, and creator tools.

Marketplace structure

Hypha is not the seller of Creator Content. Creators independently offer Content and set prices.

When a Viewer unlocks paid Content, the contract for the Content licence is between the Viewer and the Creator, not Hypha.

Hypha provides the technical platform, access-control logic, and on-chain payment routing, and charges a platform technology fee.

Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between Hypha and any Creator.

Non-custodial payment design

Hypha integrates with the Solana blockchain to enable payments using USDC.

Hypha:

• does not custody user funds;
• does not hold private keys;
• does not operate wallets;
• does not process fiat payments;
• does not maintain user balances or credits.

All payments are initiated and signed by users from their own Solana-compatible wallets and executed on-chain via smart contracts. Hypha does not warrant that smart contracts or blockchain infrastructure are error-free or uninterrupted.

The Service does not provide investment, financial, or profit-expectation products, and Content Unlocks are purchases of access, not investments.

One account per person or legal entity. You are responsible for all activity under your account and for maintaining credential security.

Hypha may refuse registration, suspend, or terminate accounts to comply with law, manage risk, or enforce these Terms.

Identity and age verification

Creators must complete identity verification through Hypha’s verification provider(s) to monetise Content.

Verification providers

Identity verification is performed by independent third-party providers. Hypha does not control, operate, or guarantee the availability, accuracy, or outcomes of any verification process and is not responsible for decisions made by verification providers.

Monetisation and verification

Monetisation features (including pricing, paid Unlocks, and tips) are available only to Creators who successfully complete identity verification through Hypha’s verification provider(s).

Hypha’s verification provider(s) support only selected jurisdictions. If identity verification is not available for your country or region, monetisation is not possible. Hypha does not offer alternative verification methods or manual overrides.

Creators who cannot complete verification may upload free Content only.

Payment flow

Unlocks and tips are paid in USDC on the Solana blockchain.

For each confirmed transaction:

• 80% is sent directly to the Creator’s designated wallet;
• 20% is sent directly to Hypha as a platform technology fee, within the same on-chain transaction.

Pricing

Prices are displayed in USDC. Any reference to "USD" is for convenience only and does not imply fiat payment, conversion, or redemption.

Platform fees

Hypha may change the platform technology fee percentage with reasonable notice. Any changes apply prospectively only and do not affect transactions already confirmed on-chain.

Network fees

Blockchain network fees are generally paid by your Wallet. Hypha does not guarantee coverage of any network or transaction fees and may change how fees are handled at any time.

Transaction finality

You acknowledge that:

• blockchain transactions are irreversible once confirmed;
• Hypha cannot reverse, cancel, or modify on-chain payments;
• you are responsible for wallet security, addresses, approvals, and reviewing transaction details before approval;
• delays or failures caused by blockchain networks, wallets, or validators are outside Hypha’s control.

Immediate supply of access

Access is supplied immediately after Confirmation.

Where applicable law provides a statutory withdrawal right for digital content, you acknowledge that by initiating an Unlock you request immediate supply and that the right to withdraw may be lost once access begins. Mandatory rights relating to faulty digital content are not affected.

Access failures

If a confirmed Unlock does not grant access due to a technical issue attributable to Hypha, contact support@hypha.tv with the transaction signature and Content URL.

Remedies are limited to restoring access, extending access time, or providing an equivalent access remedy. Blockchain payments cannot be refunded or reversed.

Creator–Viewer disputes

Disputes regarding Content, access, pricing, refunds, or Creator obligations are primarily between the Viewer and the Creator.

Hypha is not responsible for resolving such disputes, but may, at its discretion, provide technical assistance relating to access or transaction verification. Any assistance provided does not create an obligation or set a precedent.

Refunds

Unless required by applicable law, Creators are not obligated to provide refunds for Unlocks or tips. Hypha does not issue refunds and cannot reverse on-chain payments.

Creators may offer:

• 24-hour access
• 30-day access
• lifetime access
• free access

Licence to Viewers

When you Unlock Content, the Creator grants you a personal, limited, non-transferable, non-sublicensable licence to stream or view the Content through the Service for the purchased access period.

No downloads, redistribution, rebroadcasting, or rehosting unless explicitly permitted in-product.

Lifetime access

If a Creator offers lifetime access, the Creator agrees not to intentionally remove the Content except where removal is reasonably necessary, including (without limitation) due to legal requirements, rights claims, safety concerns, account compromise, or enforcement under these Terms.

Even where lifetime access is offered, access may end if the Content is removed or becomes unavailable for any reason, or if the Service is suspended or discontinued. Permanent availability is not guaranteed.

Creators retain ownership of their Content.

By uploading Content, Creators grant Hypha a worldwide, non-exclusive, royalty-free licence to host, store, transcode, stream, cache, and display Content solely to operate and provide the Service.

Limited showcase use

Creators grant Hypha a worldwide, non-exclusive, royalty-free licence to use their public profile information (including username, display name, avatar, and bio) and publicly visible Content metadata (including titles and thumbnails) solely for the purpose of showcasing and promoting Content within the Service and on Hypha-operated landing pages and showcases.

This licence does not permit:

• use of paid-only, access-restricted, or private Content;
• use of Creator likenesses or statements as testimonials;
• use implying Creator endorsement of Hypha

without the Creator’s explicit consent.

Creator representations

Creators represent and warrant that:

• they own or control all necessary rights;
• all depicted persons were at least 18 years old at the time of creation;
• required consents and releases have been obtained;
• Content complies with law and these Terms.

Taxes

Creators are solely responsible for determining, collecting, reporting, and remitting any taxes, VAT, GST, or similar charges arising from their Content, prices, or earnings. Hypha does not calculate, collect, or remit taxes on behalf of Creators.

Indemnity

Creators agree to indemnify, defend, and hold harmless Hypha, its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• their Content;
• pricing, monetisation, or access terms;
• taxes or regulatory obligations;
• any breach of these Terms;
• their use of the Service.

Testimonials

Hypha may display Creator testimonials only where the Creator has voluntarily submitted a statement for that purpose or has otherwise provided explicit consent.

Content must comply with applicable law and these Terms.

Prohibited Content includes:

• sexual content involving minors;
• non-consensual sexual exploitation;
• bestiality;
• terrorism or violent extremism;
• promotion of self-harm or suicide;
• trafficking or exploitation;
• other unlawful content.

Hypha may review Content using automated and manual systems. Review does not constitute approval.

Hypha may remove Content, limit monetisation or discovery, restrict wallets, suspend or terminate accounts, and cooperate with law enforcement or rights holders.

On-chain transactions are not reversible regardless of enforcement action.

Copyright complaints should be sent to copyright@hypha.tv and include:

• contact details;
• identification of the protected work;
• allegedly infringing URLs;
• a good-faith statement of unauthorised use.

Hypha may remove Content during review and may terminate repeat infringers.

The Service is provided "as is" and "as available". Uninterrupted operation is not guaranteed.

Hypha may modify, suspend, or discontinue features or the Service with reasonable notice where practicable.

Hypha owns the Service and related software.

You may not:

• scrape, bulk-download, or rehost Content;
• bypass access controls or DRM;
• reverse engineer or interfere with the Service;
• use the Service unlawfully or to violate others’ rights.

Nothing in these Terms limits liability that cannot be excluded by law.

Consumers: Mandatory consumer rights are not affected. Hypha is liable for foreseeable loss caused by its breach or negligence, subject to law.

Business users: Creators are treated as business users for the purposes of these Terms unless mandatory consumer law applies.

For business users, Hypha is not liable for indirect or consequential losses, including loss of profits, data, or goodwill. Hypha’s total liability in any 12-month period is limited to GBP £100.

Hypha is not liable for losses arising from blockchain networks, smart contracts, wallets, digital asset volatility, user-generated Content, or third-party services.

You may not use the Service if:

• you are located in, established in, or resident in a sanctioned territory;
• you are a restricted party;
• cryptocurrency use is prohibited by law in your jurisdiction.

Use of VPNs or similar tools to evade restrictions is a violation of these Terms.

These Terms are governed by the laws of England and Wales. Courts of England and Wales have exclusive jurisdiction, except where mandatory consumer law provides otherwise.

These Terms are drafted in English. If translated, the English version prevails.

Hypha may update these Terms. Material changes will be notified in advance where practicable. Changes required by law or security may take effect immediately.

Continued use after the effective date constitutes acceptance.

You may close your account at any time.

Hypha may suspend or terminate accounts for breach, legal compliance, or risk management.

Previously unlocked access continues according to the purchased access type unless Content is removed or access is restricted under these Terms. Blockchain transactions cannot be reversed.
